Terms of Service & Purchase Agreement

SECTION 01

Acceptance of Terms & Entity Disclosure

By accessing or using this website, creating an account, or submitting an order, you acknowledge that you have read and agree to these Terms of Service and Purchase Agreement (the “Terms”), together with policies incorporated by reference. If you do not agree, do not use the website or place an order.

Operating entity: S&J Smartlabs, doing business as (DBA) Genesis Biologics (“Genesis,” “we,” “us,” or “our”). Transactions and contractual obligations through the website are entered into by the operating entity identified here.

SECTION 02

Eligibility & User Representations

By using the website or ordering, you represent that you have legal capacity to enter this agreement, meet all applicable age requirements, and have authority to act for any organization identified in an order.

• Information you provide is complete, current, and accurate.
• Your activity and intended use are lawful in every applicable jurisdiction.
• You possess appropriate training, facilities, safeguards, and procedures for handling laboratory research materials.
• You are acting in a legitimate research or professional capacity and not for personal, household, human, or veterinary use.

SECTION 03

Research Use Only

You are solely responsible for determining whether purchase, possession, handling, storage, transport, and use are lawful and appropriate; for reviewing product information and available documentation; and for using qualified personnel, suitable facilities, protective equipment, and validated procedures.

By ordering, you represent that products will remain within an appropriate research environment and will not be administered to, consumed by, or used to diagnose or treat any human or animal. Any contrary use is unauthorized and constitutes a material breach of these Terms. Products are intended for in vitro use only.

SECTION 04

Orders & Payment

An order is an offer to purchase and is subject to acceptance, availability, verification, and applicable restrictions. An automated acknowledgment does not necessarily constitute acceptance. Where lawful, Genesis may reject, limit, hold, or cancel an order for suspected fraud, inaccurate information, product unavailability, pricing or listing errors, suspected prohibited use, or other legitimate business reasons.

Prices are shown in the currency displayed at checkout and may change without notice before an order is submitted. You authorize the charge shown at checkout, including applicable taxes, shipping, and other disclosed charges. You are responsible for accurate billing information and taxes not collected by Genesis where applicable.

SECTION 05

Payment Terms

Payment must be made using a method offered at checkout or expressly authorized in an official Genesis communication. Orders may remain pending until funds and required verification are received. Do not send funds using outdated, unverified, or third-party instructions.

Billing descriptors may reflect an authorized operating entity or payment partner. Before initiating a payment dispute or chargeback, contact Genesis promptly about an unrecognized charge or payment concern so the transaction can be reviewed, unless immediate action is reasonably necessary to protect your rights. Fraudulent disputes are prohibited, but nothing in these Terms limits good-faith dispute rights that cannot lawfully be waived.

SECTION 06

Product Information & Availability

We aim to present product names, descriptions, specifications, images, prices, availability, and supporting records accurately. Minor variations in packaging, appearance, lots, batches, or documentation may occur. Images may be illustrative and display settings may affect color.

Genesis may correct typographical, technical, pricing, or availability errors; update information; or cancel an affected order where permitted by law. No testing, purity, certification, accreditation, regulatory status, or performance representation should be inferred unless expressly stated and supported for the specific product and batch.

SECTION 07

Prohibition on Unauthorized Resale or Redistribution

Unless Genesis provides prior written authorization, products are supplied to the purchaser for its own permitted research activities and may not be resold, redistributed, relabeled, repackaged, transferred, exported, or made available to another party. Any approved resale or distribution relationship is subject to separate written terms.

You remain responsible for custody, lawful handling, and compliance after delivery. Genesis may restrict future orders if unauthorized diversion or redistribution is reasonably suspected.

SECTION 08

Shipping & Risk of Loss

Processing and delivery dates are estimates unless an express written guarantee is provided. Carrier operations, weather, customs, address issues, security review, and events outside reasonable control may cause delay. You are responsible for providing a complete deliverable address and reviewing tracking information.

Orders are generally processed within 1–3 business days after payment is confirmed and any required order review is completed. Weekends and holidays are not considered business days. Processing and delivery estimates are not guarantees unless expressly stated otherwise in writing. If an order cannot be shipped within the timeframe represented at the time of purchase, Genesis Biologics will provide notice and any options required by applicable law.

Please inspect your shipment promptly after delivery. Damaged, missing, or incorrect items should be reported within 72 hours of delivery whenever reasonably possible. Include the order number, a description of the issue, and photographs of the package and contents when applicable. Packages believed to be lost in transit should be reported promptly after the carrier’s expected delivery date so that Genesis Biologics can investigate with the carrier. These reporting periods are intended to allow timely investigation and do not limit any rights that cannot legally be waived.

Risk of loss remains with Genesis Biologics until the shipment is recorded as delivered to the shipping address provided with the order, except where applicable law provides otherwise. After confirmed delivery, responsibility for the shipment transfers to the purchaser. Genesis Biologics is not responsible for loss resulting from an incorrect or incomplete address supplied by the purchaser, unauthorized forwarding or redirection, or loss occurring after confirmed delivery, except as otherwise required by law.

If tracking indicates delivery but the package cannot be located, contact Genesis Biologics promptly through the published support channel so that we can review the shipment and, when appropriate, assist with a carrier investigation.

International purchasers, where international shipping is offered, are responsible for confirming that the ordered products may lawfully be imported into the destination jurisdiction and for any applicable duties, taxes, customs documentation, or other local requirements.

SECTION 09

Returns, Refunds & Cancellations

Due to the nature of the research materials offered by Genesis Biologics, all sales are final once an order has been shipped. We do not accept returns or exchanges.

Products sold by Genesis Biologics are intended for laboratory research use only. Once an order leaves our control, we cannot verify the product’s storage conditions, handling, chain of custody, or integrity. For this reason, shipped products cannot be returned to inventory or accepted for resale, even if unopened.

Order Cancellations

Cancellation requests must be submitted before an order has been processed or shipped. We will make reasonable efforts to accommodate a cancellation request, but cancellation is not guaranteed once fulfillment has begun. Once an order has shipped, it cannot be canceled, returned, or exchanged.

Damaged, Incorrect, or Missing Items

The final-sale policy does not apply when Genesis Biologics makes a fulfillment error or when a shipment arrives damaged.

If a shipment is damaged while in transit, Genesis Biologics will review the circumstances and supporting documentation and, when the claim is verified, provide an appropriate replacement, refund, or other resolution. Genesis Biologics may submit a claim to the applicable shipping carrier and may require the purchaser to retain the product, packaging, and shipping materials while the claim is investigated.

If your order arrives damaged, contains an incorrect product, or is missing an item, contact Genesis Biologics within 72 hours of confirmed delivery whenever reasonably possible. Please provide:

• Your order number
• A description of the issue
• Photographs of the shipping package, label, and affected product when applicable

Genesis Biologics will review the claim and, when verified, may provide an appropriate replacement, refund, or other resolution.

Do not discard damaged products or packaging until the claim has been reviewed, as photographs or additional information may be required to complete the investigation.

Change-of-Mind Returns

We do not provide returns, refunds, or exchanges for:

• Change of mind
• Accidental purchases after the order has entered fulfillment
• Products no longer wanted or needed
• Incorrect products ordered by the customer
• Products that have been opened, handled, stored, or otherwise removed from Genesis Biologics’ control
• Customer failure to comply with applicable research, storage, or handling requirements

Unauthorized Returns

Do not send products back to Genesis Biologics without written authorization. Because Genesis Biologics does not ordinarily accept product returns, packages sent back without authorization may be refused and may not qualify for a refund, replacement, or credit.

Exceptions Required by Law

Nothing in this policy is intended to exclude, restrict, or waive any right or remedy that cannot lawfully be excluded or limited under applicable law.

SECTION 10

Disclaimers

To the maximum extent permitted by applicable law, the website and products are provided on an “as available” basis. Genesis disclaims implied warranties only to the extent they may lawfully be disclaimed. Information on the website is general product and research information, not medical, veterinary, diagnostic, legal, or professional advice.

You are responsible for independent evaluation, appropriate controls, method validation, and compliance. Statements or materials from an unauthorized third party do not create a warranty or modify these Terms.

SECTION 11

Limitation of Liability

To the maximum extent permitted by law, Genesis and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, opportunity, or business interruption, arising from the website, an order, or a product.

To the maximum extent permitted by law, aggregate liability relating to a claim will not exceed the amount actually paid to Genesis for the specific product or order giving rise to that claim. These limitations do not apply where prohibited or to liability that cannot legally be excluded or limited.

SECTION 12

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Genesis and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, losses, damages, and reasonable expenses arising from your unlawful or unauthorized use; improper handling, storage, transfer, or disposal; violation of these Terms; infringement of another party’s rights; or inaccurate representations made by you.

This obligation is subject to applicable law and does not require indemnification for conduct that cannot lawfully be indemnified.

SECTION 13

Intellectual Property

The Genesis Biologics name, website, logos, graphics, photographs, product presentation, written content, and other materials are owned by or licensed to the applicable rights holder and are protected under applicable intellectual-property laws. No registered status is claimed by these Terms unless expressly identified elsewhere.

You may use the website for legitimate purchasing and informational purposes. You may not copy, scrape, reproduce, modify, republish, sell, create derivative works from, or use protected materials commercially without prior written permission or another lawful basis.

SECTION 14

Prohibited Uses

You may not use the website, accounts, payment systems, products, or content to:

• violate law, regulation, sanctions, export controls, or another party’s rights;
• purchase for human, veterinary, diagnostic, therapeutic, clinical, or other unauthorized use;
• submit fraudulent orders, payment information, disputes, or account details;
• interfere with security, availability, checkout, or other users;
• introduce malicious code, automate abusive requests, scrape protected content, or attempt unauthorized access; or
• misrepresent affiliation with Genesis or make unsupported claims about Genesis products.

SECTION 15

Privacy

Our collection, use, disclosure, and protection of personal information are described in the Genesis Biologics Privacy Policy, which is incorporated into these Terms by reference.

We may collect and use personal information as reasonably necessary to operate the website, process and fulfill orders, communicate with customers, prevent fraud and misuse, provide customer support, maintain website security, and comply with applicable legal obligations.

We may share information with third-party service providers that assist us with services such as payment processing, order fulfillment, shipping, website hosting, analytics, fraud prevention, communications, and other business operations. These providers may process information according to their own privacy policies and applicable contractual or legal requirements.

Payment information may be transmitted directly to third-party payment processors and may not be stored directly by Genesis Biologics. Please review the Genesis Biologics Privacy Policy for additional information regarding the types of information collected, how information is used and disclosed, data retention, cookies and similar technologies, and available privacy choices or rights.

Nothing in these Terms limits any privacy rights or protections available under applicable law.

SECTION 16

Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to the website, an order, or any transaction with Genesis Biologics are governed by the laws of the State of Idaho, without regard to conflict-of-law principles, except to the extent that applicable federal law or other law that cannot legally be waived or limited applies.

Informal Resolution

Before initiating formal legal proceedings, we encourage you to contact Genesis Biologics through our published support channel and provide a reasonable description of the dispute and the resolution requested. Genesis Biologics will make a good-faith effort to resolve the matter directly.

Where reasonably possible, each party agrees to allow 30 days after written notice of a dispute to attempt an informal resolution before commencing litigation. This requirement does not prevent either party from seeking urgent injunctive or equitable relief, preserving a legal claim before an applicable deadline, or exercising any right that cannot lawfully be restricted.

Jurisdiction & Venue

Subject to applicable law, any legal action or proceeding that cannot be resolved informally shall be brought in the appropriate state or federal court located in Ada County, Idaho, and the parties consent to the jurisdiction of those courts.

Nothing in these Terms prevents a party from bringing an eligible claim in small claims court or exercising any consumer or statutory right that cannot lawfully be waived, restricted, or limited.

No Mandatory Arbitration Provision

These Terms do not currently require disputes to be resolved through mandatory binding arbitration and do not contain a class-action waiver.

SECTION 17

Severability

f any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted by law or, if necessary, severed from these Terms. The remaining provisions will continue in full force and effect.

Any failure or delay by Genesis Biologics to exercise or enforce any right, remedy, or provision of these Terms does not constitute a waiver of that right, remedy, or provision and does not prevent Genesis Biologics from exercising or enforcing it in the future. Any waiver must be expressly made in writing to be effective.

SECTION 18

Changes to These Terms

Genesis Biologics may update or revise these Terms from time to time to reflect changes in our operations, website, products, policies, legal requirements, or business practices.

When these Terms are updated, the Effective Date shown at the top of the Terms will be revised. Changes will apply prospectively from the stated effective date unless applicable law requires otherwise.

For material changes that significantly affect your rights or obligations, Genesis Biologics may provide additional notice through the website, email, checkout process, or another reasonable method where appropriate or required by law.

Your continued use of the website after the revised Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law. Where affirmative consent is legally required for a particular change, the revised provision will not become binding solely through continued website use.

Changes to these Terms will not retroactively alter the terms applicable to an order that was completed before the revised Terms became effective, except where required by law or expressly agreed to by the parties.

SECTION 19

Electronic Communications

By using the website, creating an account, or placing an order, you agree that Genesis Biologics may communicate with you electronically using the contact information you provide for purposes related to your account, order, or use of our services. These communications may include order confirmations, payment receipts, shipping and tracking updates, verification or fraud-prevention requests, customer-service messages, account notices, product or order-related notices, and other transactional communications.

You are responsible for providing accurate and current contact information and for maintaining access to the email address or other contact method associated with your account or order.

Where applicable law requires specific consent or disclosures before a legally required notice may be delivered electronically, Genesis Biologics will provide such notice electronically only in accordance with those requirements.

Transactional communications are separate from marketing communications. Providing contact information for an order does not, by itself, constitute consent to receive promotional email, text messages, or other marketing communications where separate consent is required. Marketing communications will be sent in accordance with applicable law and will include applicable methods for managing preferences or opting out.

Opting out of marketing communications will not prevent Genesis Biologics from sending communications reasonably necessary to process or service an order, maintain an account, address security concerns, or otherwise complete a transaction you requested.
